About the Service

BuyPass provides a dynamic platform for merchants to create digital passes for customers, enabling enhanced engagement, promotional opportunities, and a streamlined loyalty experience. Customers can easily manage their passes and interactions with businesses, all within their mobile device's wallet application.

Registration; Rules for User Conduct and Use of the Service

To access BuyPass, you must be at least 13 years old and reside in the United States. Registration requires using a 3rd party authentication service (i.e. Apple or Google Sign in). Protect your credentials to prevent unauthorized use.

Use Restrictions

Your use of BuyPass is subject to certain restrictions. These include, but are not limited to, avoiding any illegal activities, respecting the privacy and data of other users, and not engaging in any form of harassment or abuse.

User Content

You may provide content related to your business offerings or customer interactions. You retain ownership but grant BuyPass and its users a license to use and interact with your content as part of our service offerings.

Intellectual Property

BuyPass, its services, and all related rights are owned by us and our licensors. You agree to respect these rights and not infringe on any intellectual property.

API and Integration Terms

BuyPass provides APIs and integration capabilities for merchants and third-party developers. By using our APIs, you agree to the following terms:

• Authentication: API access requires valid authentication credentials. You are responsible for keeping your API keys secure and must not share them with unauthorized parties.
• Rate Limiting: API calls are subject to rate limits. Excessive usage may result in temporary or permanent suspension of API access.
• Data Handling: You must handle all data received through our APIs in accordance with applicable privacy laws and our Privacy Policy.
• Webhooks: If you subscribe to webhooks, you are responsible for maintaining a secure endpoint and processing events in a timely manner.
• POS Integrations: Third-party POS system integrations must comply with our integration guidelines and maintain data security standards.

Payment and Billing

Merchant subscription payments are processed securely through Stripe. By subscribing to BuyPass, you agree to the following billing terms:

• Subscription Billing: Subscriptions are billed monthly or annually based on your selected plan. Billing occurs on the same date each cycle.
• Free Trial: New merchants may be eligible for a free trial period. You will be charged at the end of the trial unless you cancel before the trial ends.
• Failed Payments: If a payment fails, we will attempt to process it again. After multiple failed attempts, your account may be downgraded or suspended.
• Refund Policy: Subscription fees are generally non-refundable. Partial refunds may be issued at our discretion for service disruptions caused by BuyPass.
• Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.
• Price Changes: We may adjust subscription prices with 30 days advance notice. Existing subscriptions will be honored until their next renewal date.

Data Retention

We retain your data as follows:

• Active Accounts: Data is retained for the duration of your account plus any legally required retention period.
• Deleted Accounts: Upon account deletion, personal data is removed within 30 days. Aggregated, anonymized data may be retained for analytics.
• Receipt Images: Receipt images are processed in real-time and are not stored after validation is complete.
• Transaction Records: Transaction records are retained for 7 years for tax and compliance purposes.

Service Availability

We strive to maintain high service availability, but cannot guarantee uninterrupted access:

• Uptime Target: We aim for 99.9% uptime for our core services.
• Maintenance: Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice.
• Third-Party Dependencies: Service availability depends on third-party providers including Apple Wallet, Google Wallet, and payment processors.

Amendments

We may update these Terms of Use as necessary. Your continued use of BuyPass after changes signifies acceptance of the revised terms.

Jurisdiction

These Terms of Use are governed by the laws of the United States and the state in which you reside or incorporate. Disputes must be resolved within this legal framework.
